Terms of Service
Please read these terms carefully. By using Frameway, operated by ClipMania SARL-S, you agree to be bound by them. If you do not agree, do not use the platform.

Acceptance of terms
By accessing and using Frameway, you accept and agree to be bound by these Terms of Service and our Privacy Policy. Frameway is operated by ClipMania SARL-S (registration number B286461), registered at 3 Um Flouer, Hagen, Luxembourg. If you are using Frameway on behalf of an organisation, you represent that you have authority to bind that organisation to these terms. If you do not agree, you must not use the platform.

Description of service
Frameway is an AI-powered video editing platform that helps creators and teams transform long-form videos into engaging short clips. Frameway 0.1 provides automated clip selection and editing. Frameway 1.0 (launching approximately Summer 2025) adds a full chat-first editing suite with intent-driven drafts and professional controls. Our service includes AI-based clip selection and editing, automated cropping and multi-format export, video processing and optimisation, and content management tools.

Accounts & eligibility
You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us immediately at info@frameway.ai of any unauthorised use. You are also responsible for ensuring you have rights to all content you upload, complying with all applicable laws and regulations, not uploading harmful, illegal, or copyrighted content, and maintaining the security of your account.

Acceptable use
You agree to use Frameway only for lawful purposes and in accordance with these terms. You must not:
Upload content that infringes third-party intellectual property rights, is defamatory, obscene, or otherwise unlawful
Attempt to reverse engineer, decompile, or extract source code from the platform or its AI models
Use automated tools to scrape, crawl, or extract data from Frameway without our written permission
Use the platform in a way that could damage, overload, or impair our infrastructure or services
Share your account credentials with others or allow third parties to access the platform under your account
Resell or sublicense access to the platform without our prior written consent

Your content
You retain full ownership of all video content you upload to Frameway. By using our service, you grant ClipMania SARL-S a limited licence to process, edit, and store your content solely for the purpose of providing our services. This licence ends when you delete your content or close your account. You are solely responsible for ensuring you have the necessary rights to upload and process any content on our platform.

Intellectual property
Frameway's platform, software, AI models, brand, design, and documentation are the intellectual property of ClipMania SARL-S and are protected by applicable intellectual property laws. Nothing in these terms transfers any ownership of our IP to you. You may not copy, modify, distribute, sell, or create derivative works from any part of the platform without our express written consent. All rights not expressly granted in these terms are reserved.

Fees & payment
Certain features of Frameway require a paid subscription. All fees are displayed in Euros (EUR) and are exclusive of VAT unless otherwise stated. Payment is processed securely by Stripe. Subscriptions renew automatically unless cancelled before the renewal date. All fees are non-refundable except where required by applicable law or as stated in our refund policy. We reserve the right to change pricing with 30 days' notice communicated via email or platform notification.

Availability & changes to the service
We aim to provide reliable access to Frameway but do not guarantee uninterrupted availability. We may temporarily suspend the service for maintenance, updates, or circumstances outside our control. We may modify or discontinue features or the service in its entirety at any time. Where possible, we will provide advance notice of material changes. Customers on Frameway 0.1 at the time of the Frameway 1.0 launch will receive access to 1.0 features at no additional charge.

Disclaimers
Frameway is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be error-free, uninterrupted, or that the AI-generated outputs will meet your specific requirements or be fit for any particular purpose. You acknowledge that AI-generated video content may contain inaccuracies and should be reviewed before publication. We are not responsible for the accuracy, legality, or appropriateness of content you upload or content generated from it.

Limitation of liability
ClipMania SARL-S shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of Frameway. Our total aggregate liability for any claims arising from these terms or the service shall not exceed the total fees paid by you to Frameway in the three (3) calendar months immediately preceding the event giving rise to the claim. Nothing in these terms limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence or fraud.

Termination
Either party may terminate this agreement at any time. Upon termination, your right to use the service will cease immediately. You may cancel at any time through your account settings or by emailing info@frameway.ai. We may suspend or terminate your access immediately if you breach these terms or fail to pay applicable fees. We will delete your content in accordance with our data retention policy upon termination.

Governing law & dispute resolution
These terms shall be governed by and construed in accordance with the laws of Luxembourg. Any disputes will be subject to the jurisdiction of Luxembourg courts. If you are a consumer based in the EU, you also have the right to use the European Commission's online dispute resolution platform at ec.europa.eu/consumers/odr.

Changes to these terms
We may update these terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the platform at least 14 days before the changes take effect. The "last updated" date at the top of this page always reflects the most recent version. Your continued use of Frameway after the effective date of any changes constitutes acceptance of the revised terms.
